1. Who We Are and What This Document Covers

BinGo Auctions is an online auction house operated by RDW, LLC, an Arkansas limited liability company ("we," "us," "our"). Our website is https://bingoauctions.com and our mobile apps are available on iOS and Android.

These Terms of Service ("Terms") govern every account, every bid, and every listing on BinGo Auctions. They apply to everyone who uses our service, including buyers who bid on items ("Bidders"). Where Bidders have additional obligations specific to their role, those are spelled out in the Bidder Agreement. If there is a conflict between these Terms and the Bidder Agreement, the Bidder Agreement controls.

By creating an account, clicking "I Agree," or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. We record your acceptance — including your IP address, browser or app version, timestamp, and the version of these Terms — in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law.

2. Our Auctions

BinGo Auctions is the auctioneer and the seller of record for every item listed on the Service. We run our own auctions and sell our own inventory. We build and operate the website, mobile apps, bidding engine, notification system, and payment infrastructure used to conduct those auctions.

Items are sold as-is. BinGo Auctions is the merchant of record for every transaction. When you win a bid, you enter into a binding purchase contract directly with BinGo Auctions.

3. Eligibility

To use BinGo Auctions you must:

• Be at least 18 years old.
• Be a resident of the United States (during the current beta period).
• Have the legal capacity to enter into binding contracts under the laws of your state.
• Provide accurate, complete, and current information when creating your account and when we ask for updates.

We may require identity verification at any time using a third-party provider. Refusal to verify when required is grounds for account restriction or closure.

4. Accounts

One account per person. Bidders may not create multiple accounts. Operating multiple Bidder accounts is grounds for permanent suspension.

One account for all BinGo Auctions auctions. A single login gives you access to every auction we host. Winning-bid history, bid standing, and suspension status follow your account across all of our auctions.

Keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at legal@bingoauctions.com if you believe your account has been compromised.

Accuracy. You agree to provide and maintain accurate profile information. False information, including fake names or unverifiable contact details, is grounds for account termination.

5. Acceptable Use

You agree to use BinGo Auctions only for lawful purposes and in ways that do not harm others or interfere with the platform. Specifically, you agree not to:

• Submit false, misleading, or deceptive bids or listings.
• Use any bot, crawler, scraper, or automated tool to interact with the platform without our prior written consent.
• Attempt to circumvent, disable, or interfere with security features, access controls, or rate limits.
• Transmit malware, spam, or any code designed to harm our systems or other users.
• Harvest or collect other users' personal information without authorization.
• Impersonate another person, business, or entity.
• Facilitate, encourage, or conspire with others to manipulate auction outcomes (including shill bidding, bid suppression rings, or price collusion).
• List, sell, bid on, or otherwise transact in items that appear in the Prohibited Items list (Schedule A, available at /legal/prohibited-items).
• Use the platform in any way that violates applicable federal, state, or local law.

6. Content You Post

You own your content. When you upload photos, descriptions, or other content to BinGo Auctions ("User Content"), you keep ownership of that content.

You grant us a license. By posting User Content, you grant RDW, LLC a worldwide, non-exclusive, royalty-free license to host, display, reproduce, distribute, and make derivative works of that content solely for the purpose of operating, promoting, and improving the Service. This license ends when the content is removed from the platform, except for cached or archived copies that may persist briefly for technical reasons.

You are responsible for your content. You represent that you have all rights necessary to grant this license, that your content does not infringe any third-party intellectual property rights, and that your content complies with these Terms and all applicable laws.

We may remove content. We reserve the right to remove any content that violates these Terms, applicable law, or that we determine in our reasonable judgment is harmful, offensive, or otherwise inappropriate. Removal does not constitute an admission of liability on our part.

7. Payments and Fees

Bidders. When you win a bid, you are obligated to pay the winning bid amount plus any buyer's premium plus applicable sales tax. These amounts are charged by BinGo Auctions, which is your merchant of record. Payment is processed directly through our Square account.

Square. All payment processing is handled by Block, Inc. through its Square service. By using the payment features of BinGo Auctions, you agree to Square's terms (available at https://squareup.com/us/en/legal). We never store full payment card numbers on our servers.

Sales tax. BinGo Auctions collects and remits applicable sales tax on taxable transactions. Bidders with questions about sales tax charged on a transaction may contact us at legal@bingoauctions.com.

No platform fee to Bidders. RDW, LLC does not charge Bidders a platform fee. Buyer's premiums, if any, are set and collected by BinGo Auctions.

8. All Sales Final — Disputes

Auction sales are final. When you win a bid, you have entered into a binding purchase contract with BinGo Auctions. You cannot retract a winning bid.

Inspect at pickup. Inspect every item at pickup before you accept it. If an item is materially not as described, tell our staff at pickup and decline it — we will refund that lot on the spot to your original payment method. Once you accept and take an item, the sale is final and there is no separate post-pickup dispute window.

What qualifies for a refund at pickup. A refundable item is one where: (a) the item's condition is substantially worse than described in the listing (not merely that you changed your mind), or (b) the item is materially different from what was listed (e.g., wrong item entirely). Minor cosmetic differences that are consistent with the listing photos do not qualify.

How refunds are handled. BinGo Auctions staff review the item against the listing description and photos at pickup and make the determination. Approved refunds are processed through Square back to your original payment method. This on-the-spot review is your remedy for a not-as-described item; a chargeback through your card issuer remains available subject to your card network's rules.

Chargeback policy. Chargebacks that reverse payments on valid, completed transactions — meaning the item was picked up and matched the listing — are considered abuse. Accounts with a pattern of abusive chargebacks may be suspended or permanently banned.

9. Pickup-Only Fulfillment

All items sold on BinGo Auctions are pickup-only unless we explicitly state otherwise in a specific listing. Bidders are responsible for collecting won items within the pickup window we post for each auction, from our warehouse. Items not collected within the window may be forfeited and relisted at our discretion, with no refund to the Bidder. The no-show policy — including any restocking fee — is disclosed before you bid.

10. Account Suspension and Termination

We reserve the right to suspend, restrict, or permanently terminate any account at any time for:

• Violation of these Terms or the Bidder Agreement.
• Fraud or attempted fraud.
• Chargeback abuse.
• Non-payment of amounts owed.
• Conduct that threatens the safety, trust, or integrity of the Service.
• Instruction from law enforcement or a court order.

We will generally give notice before suspension unless immediate action is required to protect the platform or other users. Terminated accounts forfeit any outstanding bids.

11. Intellectual Property

Our IP. BinGo Auctions, including its name, logo, software, database structure, and all related materials, is the intellectual property of RDW, LLC or its licensors. Nothing in these Terms grants you any right to use our trademarks, trade name, or software outside of the normal use of the Service.

DMCA. We respect intellectual property rights and respond to properly submitted takedown notices under the Digital Millennium Copyright Act. Our complete DMCA policy and designated agent contact information are at /legal/dmca-policy.

12. Privacy

Your use of BinGo Auctions is subject to our Privacy Policy at /legal/privacy, which is incorporated into these Terms by reference.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RDW, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ITEMS ARE SOLD AS-IS, AND EXCEPT AS EXPRESSLY STATED IN THESE TERMS WE MAKE NO WARRANTY REGARDING ANY ITEM LISTED OR SOLD THROUGH THE SERVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RDW, LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless RDW, LLC and its members, officers, employees, and contractors from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any law or third-party rights.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-law principles. Any dispute not subject to arbitration under Section 17 shall be resolved exclusively in the state or federal courts located in Arkansas, and you consent to personal jurisdiction in those courts.

17. Arbitration and Class Action Waiver

Agreement to arbitrate. You and RDW, LLC agree to resolve any dispute, claim, or controversy arising from or related to these Terms or the Service through binding individual arbitration, rather than in court, except as stated below.

Exceptions. Either party may bring claims in small claims court if they qualify. Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section prevents either party from filing a complaint with a government regulator.

Arbitration rules. Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or Consumer Arbitration Rules if you are a consumer), available at www.adr.org. The arbitration shall take place in Arkansas or, at your election, by videoconference. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. YOU AND RDW, LLC WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, PRIVATE ATTORNEY GENERAL ACTIONS, OR ANY OTHER REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY. If this waiver is found unenforceable for a particular claim, that claim must be litigated in court, not arbitrated.

Opt-out right. You may opt out of arbitration by sending written notice to legal@bingoauctions.com within 30 days of first agreeing to these Terms. Your notice must include your name, account email, and a clear statement that you are opting out of arbitration. Opting out does not affect any other provision of these Terms.

18. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Effective date" at the top of this page and increment the version number. For material changes — those that meaningfully affect your rights or obligations — we will give at least 30 days' advance notice by email to the address associated with your account. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, that provision is modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining Terms continue in full force. These Terms, together with the Privacy Policy and the Bidder Agreement, constitute the entire agreement between you and RDW, LLC regarding the Service and supersede all prior agreements, representations, and understandings.
